STATUTES:

Article 1: Name, Location, and Business Year

The name of this Society is “Chindak Registered Society for Supporting the Tibetan Culture”. The Society is registered with the official register of societies. Location of the Society is Nürnberg. Business year is the calendar year.

Article 2: Objective of the Society

Objective of the Society is the worldwide support of Tibetan culture, as well as to organize and provide support for the poor and sick, and to further this objective.

This objective is achieved in particular by:

  • Building and development of Tibetan cultural places
  • Conducting cultural events
  • Preservation and cultivation of Tibetan art and culture
  • Construction and support of schools
  • Registration of cultural assets, worth to be preserved
  • Arranging and maintaining sponsorships
  • Support of poor, needy and sick people

 

Article 3: Charitable Status

The Society solely and directly pursues charitable and public welfare objectives within the meaning of section “tax-deductible purposes” of the tax law.

The Society acts on a non-profit basis. It does not primarily pursue self-economic purposes. Resources of the Society shall only be used for the purposes, covered in the statute. Members do not receive any allocations from the resources of the Society. No person may benefit from expenditures, which are not in accordance with the objectives of the Society, or from unreasonably high compensation.

In case of dissolution or annulment of the Society or the cessation of the current purpose, the resources of the Society will devolve upon the Society “Rigpa e.V.” in Munich, who shall directly and solely use it for charitable purposes.

Article 4: Membership

The Society has active, supporting and honorary members. Active members support the objectives of the Society through active participation, by accepting continuous or long-term tasks or by supporting the Society on a considerable scale; the founder members are also active members. Supporting members support the Society through donations and intercession.

Active members and honorary members possess the same active and passive right to vote. Supporting members shall be invited to general assemblies. In the assembly, they may propose written motions, however, they are excluded from the right to vote. Written motions shall be discussed and carried in the general assembly.

The active and supporting membership shall be granted based on written application to the executive board. In case of denial the person has the right to appeal to the general assembly, which may overrule the decision of the board with a 2/3rd majority decision of the present members. The board shall offer the honorary membership to persons of public life.

In case the Society-related activities of a member are changing or the qualification criteria for the type of membership are changing, the board may place the member in the respective membership category. Paragraph 3, sentence 2 applies accordingly.

The membership cannot be transferred. It ceases by death, withdrawal or expulsion. The withdrawal from the Society is effected immediately upon written notification to the executive board. The executive board will pronounce expulsions, in case the member violates the interests of the Society. Paragraph 3, sentence 2 applies accordingly.

The members pay membership dues according to executive board decisions. Honorary members are exempt from membership dues. In individual cases, the board may totally or partially release someone from the dues.

Article 5: Patronage

Patron of the Society are Sogyal Rinpoche and Dzogchen Rinpoche.

Article 6: Executive Board

The Society shall have three equal board members. The Society shall be represented jointly by two board members.

The board shall be elected for a term of two years. It shall remain in office until the election of a new executive board.

Article 7: General Assembly

The general assembly is composed of active members. It shall meet once every year. It shall be convened by a member of the executive board with a 2-weeks notice by means of sending a regular letter, to the last known address, announcing the assembly minutes. An extraordinary assembly shall be convened with a 3-weeks notice, if the interests of the Society require it, or if 1/5th of the active members demand it.

The general assembly constitutes a quorum regardless of the number of participants, provided it was properly convened. It passes decisions with a single majority of the present voting members, changes to the statutes with a 2/3rd majority and decisions pertaining to dissolution and change of objectives with a 9/10th majority. Active members may delegate their vote by authorization. Each member can only represent two other members.

One of the main functions of the general assembly is the release of the executive board. The board shall only be released, if the report of the comptroller supports it.

Article 8: Advisory Board

For special tasks, the executive board or the general assembly may establish working teams or advisory boards.

Article 9: Comptroller

The general assembly elects a comptroller, who shall audit the financial report, formally and in content. His/her term of office will be 5 years.

Article 10: Recording

The decisions made in executive board assemblies and general assemblies shall be recorded in writing, signed and filed. The minute-taker shall be elected by the general assembly. The minute-taker and one of the present board members shall sign the minutes.

Article 11: Miscellaneous

The executive board shall have the right to add changes to the statute, which are required for attaining the charitable status or its registration.
